Doctors looking to sell or purchase a practice reach an inflection point of their career- one filled with excitement and anxiety. For a selling doctor, the sale of her practice represents a difficult career transition but also the opportunity to cash out on years of hard work. For the buying doctor, the purchase of a practice is both a career investment and an investment of capital.  An attorney representing healthcare professionals in the sale or purchase of a practice must deal with a number of practice areas and mitigate risks associated with the transaction to ensure a smooth transition for their client.

This course will cover the key issues that attorneys must address when representing a doctor in the purchase or sale of a healthcare practice. We will discuss who is involved in the transaction process and what their roles are; pre-sale considerations for the seller-doctor, the letter of intent, due diligence and financing issues, drafting and negotiating the transaction documents, transfer of contracts, and post-closing obligations of the parties.

Levi Barlavi is the owner of the Pacific Health Law Group, P.C., a law practice focused on the legal needs of healthcare professionals and their practices.

Levi a seasoned transactional attorney, assisting doctors and other healthcare providers to support their practices from formation through a sale. His work includes counseling clients as to entity formation, operational contracts, asset or stock sales, management agreements, raising capital and capital events, and regulatory issues related to the healthcare sector. Levi has worked with all types of providers from physicians, dentists, optometrists to veterinarians on single practice formation and disposition to multi-location operations and private equity investments.
